Our mergers and acquisitions expertise encompasses the array of the firm’s practice groups and includes contested and friendly acquisitions and takeovers, proxy contests, divestitures and leveraged buyouts, complex joint ventures and strategic alliances. Given the depth and scope of our practice groups we are able to offer comprehensive, efficient and creative solutions to our clients. We work closely with our clients in the structuring, negotiation and implementation of their transactions, seeking to ensure that the clients’ best interests are maximized in regard to taxation and competition law while being attentive to the importance of post-closing performance and the smooth integration of the acquisition target.

Domestic and International Securities Expertise
Our securities group reflects the reality of the global securities business, where we combine our domestic expertise with our knowledge and experience working together with local counsel in the major financial centers. We advise our clients on initial public and secondary offerings, private placements, commercial paper and public to private transactions. As part of our securities practice we provide integrated and comprehensive advice to issuers and investors on market custom and practice, compliance, corporate governance and incentive programs. We have a pioneering practice in the area of securitization in which we were the lead advisors to the first public offering of mortgage-backed securities in Israel and advise many other sectors on securitization transactions.
